Terms of Service

Last Updated: 19th October 2026

When these Terms take effect. These Terms apply to firms that open an account after this October 2026 update was first published. For firms with an account before that first publication, this update takes effect on the later of 19 November 2026 and 30 days after the firm receives our corrected notice, or any later date stated in that notice. Until then, the previous Terms continue to apply. A change adverse to a prepaid annual term applies only from its next renewal, unless the law or security requires it sooner.

Use of Services

‍
You must be at least 18 years old and legally capable of entering into these Terms. You agree to use the Services solely for lawful purposes and in accordance with all applicable laws, regulations and industry obligations. The Services are designed exclusively for professionals in the financial advisory industry.
AdviseWell may change the Services, including changes needed for security, law or maintenance. We will give paid customers at least 30 days' written notice of any other change that materially reduces the features included in their plan. Such a change will not apply during a prepaid annual term without your agreement. If such a change applies to a monthly plan, you may cancel before it takes effect and we will refund any unused prepaid fees.

Acceptable Use

‍
You agree not to:

  • access or use the Services in any manner that violates any law or regulation;
  • upload, post or transmit any content without proper authority or consent, including personal data of third parties;
  • share or resell your login credentials, or allow unauthorised users to access the Services;
  • scrape, harvest or attempt to extract data from the Services other than through the provided interfaces;
  • reproduce, duplicate, copy or exploit any portion of the Services beyond your internal business use;
  • probe, scan or test the vulnerability of any system or network or breach security or authentication measures;
  • use the Services or Outputs to build, train, improve or benchmark any competing machine learning or AI models;
  • get around plan, seat or fair-use limits, for example by sharing logins or splitting one firm's use across several accounts;
  • pass off Outputs as final advice that no qualified person has reviewed;
  • use Outputs to make a fully automated decision about a person's credit, insurance, employment or eligibility, without review by a human;
  • record or process a meeting without the notice and consent required by the Recording and Consent section;
  • upload or create content that is unlawful, harmful or misleading; or
  • interfere with or disrupt the integrity or performance of the Services or data contained therein.

Recording and Consent

‍
The Services can record, transcribe and summarise meetings, including meetings you capture in person with the phone app. Lawful recording is your responsibility.
Before you record a meeting, you must tell every participant that the meeting is being recorded and that an AI tool will process it. You must also get any consent that the surveillance and listening devices laws of each state, territory or country involved require. These laws differ from place to place, and they can apply to where each participant is, not only where you are.
If a participant objects, you must stop recording. You must then deal with any recording or transcript already made as the consent, privacy and record-keeping laws that apply to you require. You must keep your own record of the notice you gave and the consent you got.
We may give you tools to help, such as a disclosure message. Compliance with these laws remains your responsibility.

Licensing and Records

‍
AdviseWell is a software provider. We are not a licensee, we do not hold an Australian financial services licence, and we do not supervise your advice. You stay responsible for your own and your licensee's obligations.
You must keep your own records for ASIC, for your licensee and for the required retention period. Do not rely on AdviseWell as your only record. Export what you need before you delete Content or end your plan.

Accounts and Security

‍
To use certain features of the Services, your firm must register an account and assign access credentials to authorised staff. Each user must be assigned a unique login and be an employee or contractor of the subscribing firm.
You are responsible for maintaining the confidentiality and integrity of your credentials and for all activity conducted through your account. You must promptly notify AdviseWell of any unauthorised access, breach or suspicious activity.
We reserve the right to suspend accounts suspected of being compromised or misused to maintain platform security.

‍

Plans, Fees and Payments

‍
Plans. AdviseWell offers a Free plan, a paid Scale plan billed monthly or annually, and Enterprise agreements. Current prices and inclusions are set out on our pricing page and in your account portal. Where you sign an Enterprise agreement or order form with AdviseWell, it prevails over these Terms to the extent they differ.
Free plan. The Free plan is for one User, at no charge, and is subject to our Fair Use Policy. AdviseWell may change the features of the Free plan or withdraw it, with at least 30 days' notice to Free plan Users.
Prices and GST. Prices are in Australian dollars and exclude GST. Where GST applies, we add it to the invoice.
Support staff. Support staff, such as paraplanners, administrators and other team members who do not give advice, are included on a Scale plan at no extra cost, within our Fair Use Policy. Each person must have their own sign-in.
Fair use. Paid plans include use of the Services within our Fair Use Policy, which forms part of these Terms. If your firm exceeds the policy for two consecutive months, we will contact you before we take any other step. We will show you the measurement period, meeting hours, document count, modelling runs and the number of advisers and support staff we relied on, and explain any disputed count before we act. On the Free plan, if we cannot agree on continued use, either of us may end the Free plan on 30 days' written notice, and you may export your Content before it ends. We will not change your plan or your fees without your written agreement. If we cannot agree on an arrangement within 60 days of contacting you, either of us may end the paid plan on 30 days' written notice, and we will refund any fees you have prepaid for the period after it ends.
Billing and renewal. Fees are payable in advance for each billing period. A monthly plan renews each month and an annual plan renews for a further 12 months, unless you cancel before the renewal date. At least 60 days before each annual renewal, we will email the account owner the renewal date, the price and any GST that applies, and how to cancel. You may cancel renewal in your account, or by replying to that email, at any time before the renewal date.
Changing your plan. You may add paid seats at any time, and we charge for them pro rata to your next billing date. Removing seats, moving from annual to monthly billing, or moving to the Free plan takes effect at the end of your current paid term. A move from monthly to annual billing takes effect on your next billing date. Before a downgrade takes effect, we will tell you which features will become unavailable and how to export your Content.
Money-back guarantee. If your firm cancels its first Scale subscription within 30 days after its first Scale payment, we will refund that payment in full, including any GST charged. This applies to monthly, annual and year-end offer subscriptions, once for each firm. Except as this guarantee or these Terms provide, fees are non-refundable unless the law requires a refund. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law.
Price changes. AdviseWell may change its prices or introduce new charges. We will give you at least 30 days' written notice before a change applies to you. A change applies to a monthly plan from the next billing period after the notice ends. A change applies to an annual plan only from its next renewal, so your price does not change during an annual term.
Year-end offer. The year-end offer is limited to 20 firms, including places reserved for interested firms. We may hold a place for a firm that has expressed interest before it signs or starts a guided trial. A held place counts towards the 20 and is not available to another firm until we release it or the offer closes. A hold does not oblige the firm to buy. It is available to firms that sign an annual Scale plan by 19 December 2026 while places remain. If a place remains when your guided trial starts before 19 December 2026, we reserve that place until the trial ends; the reservation counts towards the 20 places, and you qualify if you sign an annual Scale plan by the end of that trial. The year-end offer price is $129 per adviser a month, excluding GST, billed annually in advance ($1,548 excluding GST per adviser a year). It is fixed for the first 12-month term. Before you add an adviser during a year-end offer term, we will give you the price and start date in writing. No additional adviser charge applies until you accept it. At the end of the term the plan renews at the annual list price that applies at that time. We will write to you at least 60 days before the renewal date with that price, and you may cancel before the plan renews.
Guided trial. The guided trial lasts 14 days. It is free and you are under no obligation to buy a plan. You may use a client who has given consent or a synthetic client that we provide. The trial does not convert to a paid plan automatically, and we take no payment without your approval. If you choose a Scale plan, your trial templates and setup carry over. If you do not, access to the trial ends on day 14, and you have 30 days to export your trial Content or ask us to delete it. We delete it from active systems within 30 days of your request, subject to retention the law requires and to our backup retention periods.

Intellectual Property

‍
All technology, models, interfaces, designs, documentation and content in the Services remain the exclusive property of AdviseWell or its licensors. Your subscription grants you a limited, non‑transferable, non‑exclusive licence to access and use the Services for your internal business use only.
You may not reproduce, distribute, reverse engineer, decompile or create derivative works from any part of the Services without prior written consent.

Feedback

‍
If you give us feedback or suggestions about the Services, you grant AdviseWell a non-exclusive, perpetual, royalty-free licence to use them. You keep ownership of your feedback. This licence does not give us any right to your Content.

Data and Privacy

‍
All data submitted through the Services remains owned by you. AdviseWell processes personal and financial data in accordance with its Privacy Policy and applicable Australian privacy laws.
AdviseWell stores your data in Australia. Depending on the AI settings your firm chooses, some processing may happen outside Australia, as our Privacy Policy describes.
You grant AdviseWell a limited licence to use, process and store your data solely to provide, maintain and improve the Services. AdviseWell employs industry‑standard security controls but cannot guarantee absolute security against unauthorised access.
You are responsible for ensuring you have the necessary authority and consents to input any third‑party data into the platform.
Staff access. Our staff can access your Content only to give support you ask for, to keep the Services secure, to investigate misuse, or to meet the law. Access is limited to people who need it.
Security incidents. If we become aware of a security incident that affects your firm's Content, we will notify your firm's admin contact without undue delay and tell you what we know. We will help you assess your obligations under the Notifiable Data Breaches scheme and your obligations to your licensee.

Data Processing for Firms

‍
Your firm decides why its clients' personal information is collected and how it is used. AdviseWell handles that information on your firm's behalf and under your instructions, to provide the Services. We do not sell it and we do not use it for our own marketing.
We will help your firm respond to access and correction requests from its clients about information held in the Services.
We use service providers to help run the Services. They are bound by written confidentiality and security terms. On request, we will give you a current list of them and where they process data.
For assurance, we make our SOC 2 Type 2 report from Sensiba available under a non-disclosure agreement, and we respond to reasonable security questionnaires. We do not allow on-site audits unless we agree to one in writing.

Connected Services and AI Connectors

‍
You choose which Connected Services to link to AdviseWell. You can disconnect any of them at any time in your settings. When you connect one, you confirm that you are allowed to connect it and to share the related data.
Data that passes to a Connected Service, including an AI assistant such as ChatGPT or Claude, is also governed by that service's own terms and privacy policy. AdviseWell remains responsible for how it collects data and sends it through the connection. AdviseWell is not responsible for any Connected Service or for what it does with data after it receives it.

Beta and Preview Features

‍
We offer Beta Features as is. We may change or withdraw them at any time. They may be less accurate or less available than the rest of the Services, and no support or availability commitment applies to them. Do not use a Beta Feature as the only record of anything.

Compliance and Advice Disclaimer

‍
AdviseWell provides workflow automation, compliance tooling and content generation support. We do not provide financial product advice. Outputs are not legal or tax advice from us, and we do not make regulatory determinations.
Outputs are drafts. AI can produce errors, omissions, invented content and out-of-date information. A qualified person at your firm must read and approve all Outputs before they reach a client, a regulator or a system of record. Modelling and calculator results depend on the inputs and assumptions you give them.
The responsibility to assess Outputs, meet compliance obligations and ensure the appropriateness of client communications rests with your firm and its users. You must exercise professional judgement when using the Services.

Warranties and Disclaimers

‍
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, AdviseWell disclaims all warranties and representations, express or implied, including any warranties of merchantability, fitness for a particular purpose, non‑infringement and that the Services will be uninterrupted, secure or error‑free. Your use of the Services is at your own risk.

Indemnities

‍
You agree to indemnify and hold AdviseWell and its officers, directors, employees and agents harmless from and against any claims, damages, liabilities, losses and expenses (including reasonable legal fees) arising out of or relating to: (a) your misuse of the Services; (b) your violation of these Terms or any law; (c) any content or data you submit to the Services, including any infringement or misappropriation of intellectual property or privacy rights; (d) your use of, or reliance on, Outputs without the review these Terms require; and (e) your failure to give the recording notices or get the consents required by the Recording and Consent section.
AdviseWell will defend you against a third-party claim that the Services themselves infringe that third party's intellectual property rights, and will pay the damages and costs that a court finally awards against you or that we agree in settlement. This applies only if you tell us about the claim promptly in writing, let us control the defence and settlement, and give us reasonable help at our cost. We have no obligation to the extent a claim arises from your Content, from changes to the Services not made by us, from combining the Services with anything we did not supply, or from use of the Services in breach of these Terms. If a claim is made, we may change the Services, get the right for you to keep using them, or end the affected part and refund any prepaid fees for the period after it ends.

Confidentiality

‍
Each party agrees to treat the other party’s confidential information as confidential and to not disclose it to any third party except as required to perform the Services or as permitted by law. Confidential information includes all non‑public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

Service Levels and Support

‍
AdviseWell will use commercially reasonable efforts to make the Services available and to provide customer support during normal business hours. We do not warrant specific uptime levels and the Services may be unavailable from time to time for maintenance or due to circumstances beyond our reasonable control.

Termination

‍
You may cancel your subscription or stop using the Services at any time through your account settings. Upon cancellation, your access will continue until the end of your paid billing cycle. Cancelling an annual plan stops it renewing; fees already paid for the current annual term are not refunded, except as these Terms provide or where the law requires.
AdviseWell may suspend your account for material breach of these Terms, misuse of the Services, payment failure or if required by law or regulation. Any suspension must be proportionate. We will limit it to what is reasonably needed, apply it to the affected account or users where practical, and lift it promptly once the cause is fixed.
Either party may end these Terms by written notice if the other party commits a material breach and does not fix it within 30 days after receiving written notice describing the breach, or if the other party becomes insolvent or goes into administration, liquidation or receivership. AdviseWell may also end a paid plan if an undisputed invoice is still unpaid at the end of the 14-day notice period below, and may end an account immediately where the law requires.
For an overdue payment, we will give you written notice and 14 days to pay before we suspend access. We may suspend access immediately where reasonably necessary to address a security threat or unlawful use, and we will explain the reason as soon as practicable. We may end a paid plan for convenience on 60 days' written notice, and we will refund prepaid fees for the period after it ends.

Data Handling on Termination

‍
Upon termination or cancellation of your account, you may export your data for a limited period specified in your account portal (currently 30 days). After this period, AdviseWell will delete or anonymise your data from active systems, subject to retention in backups for a limited time for security and compliance purposes. Export what you need within that period, because you remain responsible for your own records.

Limitation of Liability

‍
To the fullest extent permitted under Australian law, AdviseWell is not liable for indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill.
Our total cumulative liability for any claim arising from the Services is limited to the amount you paid to us in the 12‑month period preceding the event giving rise to the claim, or AUD $100, whichever is greater.
Where the Australian Consumer Law implies a guarantee that cannot be excluded, our liability for breach of it is limited, where the law allows, to supplying the Services again or paying the cost of having them supplied again.
Nothing in these Terms limits or excludes liability for fraud, for death or personal injury caused by negligence, or for any liability that the law does not allow to be limited or excluded.

Force Majeure

‍
AdviseWell is not liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labour disputes, utility failures or government actions.

Assignment

‍
AdviseWell may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, sale or corporate reorganisation. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Dispute Resolution

‍
The parties will attempt to resolve any dispute arising out of or relating to these Terms or the Services through good faith negotiations. If the dispute is not resolved within 30 days, either party may refer the matter to mediation administered by a mutually agreed mediator in Melbourne, Victoria. If mediation fails to resolve the dispute, either party may pursue its rights in the courts specified below.

Changes to Terms

‍
We may update these Terms from time to time. If material changes are made, we will notify you via email or through the platform. We will give at least 30 days' notice before a material change to these Terms takes effect. A material change that is adverse to you applies to a prepaid annual term only from its next renewal, unless the law or security requires it sooner. If you do not accept a change, you may cancel before it takes effect and we will refund any unused prepaid fees.

Governing Law

‍
These Terms are governed by the laws of Victoria, Australia. You submit to the exclusive jurisdiction of the courts of Victoria for all disputes arising from or relating to these Terms or the Services.

‍
